\/>\n<strong>OF THE LAKE TRAVERSE RESERVATION<\/strong><br \/>\n<strong>CHARTER<\/strong><br \/>\n<strong>SISSETON-WAHPETON COLLEGE<\/strong><\/p>\n<p style=\"text-align: left;\">Pursuant to the authority vested in the Sisseton-Wahpeton Oyate of the Lake Traverse<br \/>\nReservation, by its Constitution and By-Laws adopted by the members of the Tribe on August<br \/>\n12, 1966 and approved by the Commissioner of Indian Affairs on August 25 th, 1966, and as<br \/>\nfurther amended, particularly by Article VIl, Section I (a) and (h), to provide for the health,<br \/>\neducation, welfare, and such other services for the betterment of the Tribe, the Tribal Council<br \/>\nof the Sisseton-Wahpeton Oyate of the Lake Traverse Reservation hereby ratifies the Charter of<br \/>\nthe Sisseton-Wahpeton College (the \u201cSWC\u201d), a non-profit corporation, duly adopted by a \u00be %<br \/>\nmajority vote of all members of the Board of Trustees at a special meeting on October 9, 2007<br \/>\nand amended by a unanimous vote of the Board of Trustees at their regular meeting on April<br \/>\n23, 2024.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE I<\/strong><br \/>\n<strong>SISSETON-WAHPETON COLLEGE<\/strong><\/p>\n<p>A. The name of the non-profit Corporation shall be the Sisseton-Wahpeton College.<br \/>\nB. The period of duration of the non-profit Corporation shall be perpetual.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE II<\/strong><br \/>\n<strong>PURPOSES<\/strong><\/p>\n<p>\u00a0 \u00a0 The SWC shall exist for the charitable purposes of providing and maintaining a high<br \/>\nstandard of higher education for all tribal members residing within the service area of the Tribe<br \/>\nand promoting economic development and self-sufficiency. The purposes of the SWC, for the<br \/>\nbenefit of the Tribe and all tribal members, are as follows:<br \/>\nA. Primary Purpose:<br \/>\n1) To provide educational programs and\/or to establish and operate an education<br \/>\ninstitution at the post-secondary level on the Lake Traverse Reservation.<br \/>\nB. Ancillary Purposes:<br \/>\n1) To do everything necessary, proper, advisable or convenient for the<br \/>\naccomplishment of the purposes set forth above, which are not forbidden by law.<br \/>\n2) To achieve the above purposes the SWC may borrow money, accept donations,<br \/>\ncontract and generally do each and everything necessary that a non-profit<br \/>\ncorporation may do under the Internal Revenue Code.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE III<\/strong><br \/>\n<strong>POWERS<\/strong><\/p>\n<p><strong>The SWC is empowered:<\/strong><br \/>\nA. To buy, own, convey, assign, mortgage, or lease any interest in personal property, and to<br \/>\nlease any real property from the Sisseton-Wahpeton Oyate and others for such periods as<br \/>\nmay be authorized by law, and to hold, manage, mortgage, or sub-lease the same.<br \/>\nB. To borrow money and issue evidence of indebtedness in furtherance of the purposes of<br \/>\nthe SWC and to secure the same by mortgage, pledge or lien upon its property.<br \/>\nC. Either directly or indirectly and either alone or in conjunction or cooperation with<br \/>\nothers, whether such others be persons or organizations, of any kind of nature, such<br \/>\ncorporations, firms, associations, trusts, institutions, foundations, or governmental<br \/>\nbureaus, departments of agencies, to do any and all lawful activities which may be<br \/>\nnecessary, useful or desirable for the furtherance, accomplishment, fostering or<br \/>\nattainment of the foregoing purposes, including among other things, but not limited to:<br \/>\n1) To provide advice, support, credit, funds, capital, gifts, and all other lawful forms<br \/>\nof assistance, financial, and otherwise, to or for use in educational institutions<br \/>\noperated, or to be operated by the Sisseton-Wahpeton Oyate;<br \/>\n2) To voluntarily furnish management, administrative and other advice, support,<br \/>\ntraining and assistance to members of the Tribe to enable them to develop<br \/>\nnecessary skills to successfully operate and administer education institutions;<br \/>\n3) To grant post-secondary degrees and certificates, especially the degree of<br \/>\nAssociates of Arts, and to develop curricula leading to such degrees or<br \/>\ncertificates;<br \/>\n4) To obtain information and conduct research, studies, and analysis, and prepare<br \/>\nand publish reports, as to any and all matters that may be of use in furthering<br \/>\nthe expansion of educational institutions operated by Indians, including<br \/>\ninformation, research studies, analysis, and reports as to services, skills,<br \/>\nsources of financing and any or all other matters;<br \/>\n5) To enter into agreements with all public and private agencies, including<br \/>\nuniversities and colleges providing higher education meeting the needs of the<br \/>\nmembers of the Sisseton-Wahpeton Oyate, and;<br \/>\n6) The Sisseton-Wahpeton Oyate hereby authorizes the SWC to effect a limited<br \/>\nwaiver of its sovereign immunity from suit, provided however, that such waiver<br \/>\nshall be express and unequivocal, evidenced by a duly enacted resolution by the<br \/>\nBoard of Trustees for that purpose only. A resolution of the Board of Trustees<br \/>\nwhich expressly and unequivocally authorizes a limited waiver for an explicit<br \/>\npurpose shall not be deemed a waiver for any other purpose. Any limited waiver<br \/>\nenacted by the Board of Trustees pursuant to the authorization granted by this<br \/>\nprovision shall not extend to the Sisseton-Wahpeton Oyate or any of its<br \/>\ndepartments, agencies, or entities. The Sisseton-Wahpeton Oyate shall not be<br \/>\nliable for the debts or obligations of the SWC, except in so far as it may<br \/>\nhereafter expressly obligate itself in writing.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE IV<\/strong><br \/>\n<strong>REGISTERED OFFICE AND REGISTERED AGENT<\/strong><\/p>\n<p>\u00a0 \u00a0 A. The address of the SWC\u2019s initial registered office and the name of the initial agent are as<br \/>\nfollows:<br \/>\nNAME \/ADDRESS<br \/>\nSisseton Wahpeton College \u2013 P.O. Box 698, Agency Village, SD 57262<br \/>\nB. The name of the registered agent shall always be the current President of the College<br \/>\nand his\/her address shall be the same as above.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE V<\/strong><br \/>\n<strong>BOARD OF TRUSTEES<\/strong><\/p>\n<p>\u00a0 \u00a0 The Board of Trustees shall be comprised of seven (7) members each of which shall be<br \/>\nelected by the respective seven (7) Districts of the Sisseton-Wahpeton Oyate to manage the<br \/>\nbusiness property and affairs of the S WC, including, but not limited to the determination of<br \/>\npolicy, the acquisition and improvement of real and personal property and any interest therein,<br \/>\nthe borrowing of money and acceptance of grants from such public and private agencies or<br \/>\nother persons as the Board of Trustees may determine, and the issuance of notes, bonds,<br \/>\ndebentures, or other obligations, all for the purpose for which the SWC is organized as set forth<br \/>\nin Article Il.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE VI<\/strong><br \/>\n<strong>LIMITATIONS<\/strong><\/p>\n<p>\u00a0 \u00a0 The SWC is organized exclusively for charitable, educational, and scientific<br \/>\npurposes, including for such purposes, the making of the distributions to organizations under<br \/>\nSection 501 (c)(3) of the Internal Revenue Code. This SWC is to be governed within the<br \/>\nSisseton Wahpeton Oyate Law in compliance with the Constitution, Article IV, Bill of Rights<br \/>\nand Code of Ethics and all appropriate tribal law.<br \/>\nNo part of the net earnings of the SWC shall inure to the benefit of, or be distributable<br \/>\nto its members, directors, officers, or other private persons, except that the S WC shall be<br \/>\nauthorized and empowered to pay reasonable compensation for services rendered and to make<br \/>\npayments and distributions in furtherance of the purposes set forth in Article Ill. No substantial<br \/>\npart of activities of the SWC shall be the carrying on of propaganda, or otherwise attempting to<br \/>\ninfluence legislation, and the S WC shall not participate in, or intervene in, (including the<br \/>\npublishing of distribution of statements) any political campaign on behalf of any candidate for<br \/>\npublic office. Notwithstanding any other provisions of these Articles, the S WC shall not carry<br \/>\non any other activities not permitted to be carried on by a SWC exempt from Federal Income<br \/>\ntax under Section 501 (c)(3) of the Internal Revenue Code, and as amended, or by a SWC to<br \/>\nwhich contributions are deductible under Section 170(c)(2) of the Internal Revenue Code, and<br \/>\nas amended.<br \/>\nUpon the dissolution of the SWC, whether such dissolution shall result from voluntary<br \/>\naction on the part of the Board of Trustees, court order, lapse of time, or otherwise, no part of<br \/>\nthe remaining assets of the S WC after the discharge of corporate liabilities, shall inure to the<br \/>\nprivate profit, benefit, or advantage of any member, director, trustee, officer, or employee of the<br \/>\nSWC. Upon dissolution of the SWC, assets shall be distributed to the Tribe for public purposes.<br \/>\nAny such assets not so disposed of shall be disposed of by the Sisseton-Wahpeton Oyate Tribal<br \/>\nCourt under the jurisdiction of the Sisseton-Wahpeton Oyate of the Lake Traverse Reservation<br \/>\nexclusively for the benefit of the public purposes of the Tribe; and exempt organization or<br \/>\norganizations under Section 501 (c)(3) of the Internal Revenue Code.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE VII<br \/>\nBY-LAWS<\/strong><\/p>\n<p>\u00a0 \u00a0 By-Laws of the SWC shall be adopted by the Board of Trustees at a regular meeting of<br \/>\nthe Board of Trustees or at any special meeting called for that purpose,<br \/>\nprovided, that the By-Laws shall not be inconsistent with the provisions of this Charter.<br \/>\n<span style=\"font-size: 12pt;\">Amended 04\/23\/2024 by the Sisseton Wahpeton College Board of Trustees<\/span><\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE VIll<\/strong><br \/>\n<strong>ACCREDITATION<\/strong><\/p>\n<p>\u00a0 \u00a0 The SWC shall take those actions necessary to receive and maintain accreditation form<br \/>\nan association which can accredit the SWC, such as North Central Association of Colleges and<br \/>\nSchools, provided that such an association shall be recognized by and maintain good standing<br \/>\nwith other accrediting associations. If the accreditation of the SWC appears to be in jeopardy,<br \/>\nthe Sisseton-Wahpeton Tribal Council may take any action deemed necessary to maintain such<br \/>\naccreditation including, without limitation, the removal of the Board of Trustees and the<br \/>\nelection or appointment of a new Board of Trustees.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE IX<\/strong><br \/>\n<strong>AMENDMENT<\/strong><\/p>\n<p>\u00a0 \u00a0 This Charter may be amended by a 3\/4 majority vote of all members of the Board of<br \/>\nTrustees or by a majority of the Sisseton-Wahpeton Oyate Tribal Council at a regular or special<br \/>\nmeeting.<\/p>\n<p>Amended 04\/23\/2024 by the Sisseton Wahpeton College Board of Trustees<\/p>\n<\/div>\n              <\/div>\n Wahpeton College<br \/>\nBoard of Trustees<br \/>\nBylaws<\/strong><\/p>\n<p>Article VII of the Charter that establishes the Sisseton \u00a0Wahpeton College (SWC) requires that<br \/>\nthe Board of Trustees (Board) adopt bylaws that <em>\u201cshall <\/em><em>not be inconsistent <\/em><em>with <\/em><em>the provisions <\/em><em>of <\/em><em>this Charter<\/em><em>. <\/em>\u201d<\/p>\n<p style=\"text-align: center;\"><strong>Article I- Composition, Terms and Qualifications<\/strong><\/p>\n<p>Composition: \u00a0The SWC Board of Trustees is comprised \u00a0of nine (9) members.<\/p>\n<p>The Sisseton \u00a0Wahpeton Tribal Charter, Article V states that <em>\u201c<\/em> <em>The Board <\/em><em>of <\/em><em>Trustees <\/em><em>shall <\/em><em>be <\/em><em><u>comprised <\/u><\/em><em><u>o(seven \u00a0<\/u><\/em><em><u>(7) <\/u><\/em><em><u>members <\/u><\/em><em><u>each <\/u><\/em><em><u>of <\/u><\/em><em><u>which shall <\/u><\/em><em><u>be <\/u><\/em><em><u>elected <\/u><\/em><em><u>by the <\/u><\/em><em><u>respective seven <\/u><\/em><em><u>(7)<\/u><\/em> <em><u>Districts o[the Sisseton-Wahpeton Oyate<\/u><\/em> <em>to manage the business <\/em><em>property <\/em><em>and <\/em><em>affairs <\/em><em>of the <\/em><em>SWC, including but not limited to, the <\/em><em>determination <\/em><em>a_[ <\/em><em>policy, the <\/em><em>acquisition and improvement of <\/em><em>organized as set.for <\/em><em>in <\/em><em>Article <\/em><em>II <\/em><em>(of the <\/em><em>Charter<\/em><em>)<\/em><em>.<\/em> <em>\u201c<\/em><\/p>\n<p>Two Ex officio members authorized \u00a0by the Board serve on the Board of Trustees \u2013 1 from the Sisseton \u00a0Wahpeton Tribal Council \u00a0and 1 elected from the SWC student body. \u00a0Ex officio members follow the Bylaws of the Board of Trustees \u00a0but are non-voting \u00a0members.<\/p>\n<p>Terms: \u00a0Board members shall serve a 4-year term with the exception \u00a0of the 2 Ex officio members who may serve 2-year terms due to tum over from elections or status as a college student.\u00a0 \u00a0In those events, the Tribal Council \u00a0and the Student Senate shall determine \u00a0replacements.<\/p>\n<p>Board members \u00a0may not be an employee \u00a0of SWC. \u00a0Should a Board member \u00a0become an employee they must resign their role on the Board. \u00a0Should a Board member be elected to the Tribal Council \u00a0they must resign their seat on the Board.<\/p>\n<p>&nbsp;<\/p>\n<p>Qualifications:<\/p>\n<ol>\n<li>Be an adult, tribal citizen of the Sisseton Wahpeton\u00a0 Oyate.<\/li>\n<li>Live on the Sisseton \u00a0Wahpeton Lake Traverse reservation \u00a0in one ofthe 7 district communities.<\/li>\n<li>Have some college\/higher education \u00a0experience, including college credit toward a degree,<br \/>\npreferably \u00a0have a bachelor\u2019s degree.<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>Understanding of college \u00a0board dynamics \u00a0and ability to be a team player.<\/li>\n<li>Be a servant leader in the Dakota traditional \u00a0sense.<\/li>\n<li>Be trustwot1hy and a person of integrity.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p style=\"text-align: center;\"><strong>Article \u00a0II- Responsibilities<\/strong><\/p>\n<p><strong>Board responsibilities include:<\/strong><\/p>\n<p>To attend all meetings and to be prepared \u00a0for each meeting.<\/p>\n<p>To develop \u00a0and adopt, in concert \u00a0with the SWC leadership team, personnel \u00a0and fiscal policies and to schedule \u00a0regular reviews of those policies.<\/p>\n<p>Following, \u00a0supporting, \u00a0and enforcing \u00a0personnel \u00a0and fiscal policies toward \u00a0legal , ethical<br \/>\nintegrity, and accountability.<\/p>\n<p>To understand \u00a0and support the maintaining accreditation standards and practices.<\/p>\n<p>Exercising fiduciary \u00a0responsibility \u00a0and oversight \u00a0for the College\u2019s annual\u00a0 budget and the budgeting \u00a0process (fiduciary \u00a0is acting for the benefit of the College and its constituents \u2013 students, \u00a0faculty, staff, and community\/Tribe- this requires subordinating the Board members\u2019 interests if there is a conflict).\u00a0 \u00a0The Board approves the annual budget and conducts \u00a0regular\u00a0 reviews.<\/p>\n<p>Assuring that the budget supports \u00a0the strategic plan.<\/p>\n<p>To understand and to be engaged \u00a0in organizational planning that is reviewed \u00a0annually and updated on a regular basis.<\/p>\n<p>To review and approve the annual audit and ensure \u00a0public disclosure \u00a0of the Form 990. To establish \u00a0effective \u00a0information, assessment \u00a0and rep011ing systems.<\/p>\n<p>To serve as the channel of communication from the community \u00a0they represent to the college and vice-versa \u00a0(to be the voice and advocate \u00a0of SWC).<\/p>\n<p>To know and support \u00a0the mission , vision, and values but to also conduct periodic review<\/p>\n<p>and updating \u00a0of those statements.<\/p>\n<p>To hire and support \u00a0the President\/CEO who is the only employee \u00a0under the direct supervision \u00a0of the Board.<\/p>\n<p>To conduct \u00a0an annual evaluation \u00a0of the President\/CEO using an agreed-upon \u00a0method and tool that is aligned \u00a0with SWC personnel \u00a0policies. \u00a0(Agreed upon between the President\/CEO and the Board)<\/p>\n<p>Assuring \u00a0that official Board minutes are recorded, \u00a0filed, and made public in a timely manner.<\/p>\n<p>Conduct an annual Board self-assessment.<\/p>\n<p>Participate \u00a0in appropriate \u00a0higher education \u00a0training, such as Title IX, as scheduled \u00a0by the<\/p>\n<p>College.<\/p>\n<p style=\"text-align: center;\"><strong>Article III \u2013 Code of Conduct<\/strong><\/p>\n<p>Duty of Care- to act in the best interest of the College \u00a0by making infonned decisions, \u00a0exercising prudent judgment, \u00a0and promoting transparency. \u00a0To be respectful and to respect confidentiality.<\/p>\n<p>Duty of Loyalty- to act in the best interest of the College and avoid personal or professional gains by enforcing \u00a0conflict of interest and whistleblowing policies, and preserving confidentiality.\u00a0 \u00a0To supp011and maintain confidence \u00a0in the administration.<\/p>\n<p>Duty of Obedience \u00a0\u2013 entails compliance \u00a0with federal, state, and tribal laws, as well as College policies.<\/p>\n<p style=\"text-align: center;\"><strong>Article IV- Conflict of Interest<\/strong><\/p>\n<p>If there is an issue of conflict of interest on a topic, the member must disclose, refrain from discussion, and abstain from voting on that topic. \u00a0The Board adheres to the College personnel policies that outline the conflict of interest policy.<\/p>\n<p style=\"text-align: center;\"><strong>Article V- Meetings<\/strong><\/p>\n<p>Regular \u00a0meetings are scheduled \u00a0once a month and currently \u00a0set for the third Tuesday of the month at a time and place determined \u00a0by the Board. \u00a0Regular \u00a0Board meetings are public.<\/p>\n<p>Special meetings \u00a0may be called at the direction \u00a0of the President\/CEO or Board Chair by providing \u00a0a 48-hour email notice to the Board prior to the meeting that includes time and location. \u00a0Special \u00a0meetings are public meetings.<\/p>\n<p>Certain circumstances may necessitate \u00a0an Executive \u00a0Session \u00a0wherein the meeting is closed to the public. \u00a0The Board may go into Executive \u00a0Session via a motion during a regular or special meeting. \u00a0Only Board members and the President\/CEO participate \u00a0in an Executive Session but others may be invited depending \u00a0on the issue for the executive \u00a0session.<\/p>\n<p>All meetings \u00a0are conducted \u00a0in person unless authorized \u00a0by the Board prior to said meeting, that it will be conducted \u00a0via online or call-in.\u00a0 \u00a0In using online or call-in format, no member will record said meeting.<\/p>\n<p>All meetings \u00a0will have minutes taken that will be approved \u00a0at the next Board meeting and that will be signed \u00a0by the Board Chair which then makes them an official document.\u00a0 \u00a0Official Board minutes shall be retained by SWC via electronic \u00a0means and public documents.<\/p>\n<p>&nbsp;<\/p>\n<p style=\"text-align: center;\"><strong>Article VI- Quorum<\/strong><\/p>\n<p>The presence \u00a0of a majority of the voting members\u00a0 of the Board, 4 of 7 members, \u00a0constitutes \u00a0a quorum for a meeting \u00a0to transact any business.<\/p>\n<p style=\"text-align: center;\"><strong>Article \u00a0VII -Votes\/Voting<\/strong><\/p>\n<p>Per the Charter \u00a0and these Bylaws, the 7 District members each have a vote and will exercise that privilege for conducting \u00a0the business of the College.<\/p>\n<p style=\"text-align: center;\"><strong>Article \u00a0VIII- Officers<\/strong><\/p>\n<p>The Board shall determine \u00a0officer roles and currently there is Chair and Vice Chair and<br \/>\nSecretary. \u00a0Officers serve a 4-year tern.\u00a0 \u00a0The Chair presides at all Board meetings \u00a0and works<br \/>\nwith the President\/CEO to set the meeting \u00a0agendas and to provide direction for the matters of the<br \/>\nBoard of Trustees. The Vice Chair assumes \u00a0Chair responsibilities when the Chair is unavailable.<\/p>\n<p style=\"text-align: center;\"><strong>Article IX \u2013 Compensation<\/strong><\/p>\n<p>The Board may set a stipend \u00a0payment \u00a0for participation at regular or special meetings on an annual basis and within the budget cycle. \u00a0Board members may also authorize \u00a0travel reimbursement that is consistent \u00a0with SWC fiscal policies for travel. \u00a0Travel will be related to higher education \u00a0or tribal college \u00a0training or conferences, including anything \u00a0related to accreditation, Title IX, or board governance.<\/p>\n<p style=\"text-align: center;\"><strong>Article X- Removal<\/strong><\/p>\n<p>The Board \u00a0may remove a member \u00a0by majority vote for inappropriate conduct or behavior. Examples of inappropriate behavior \u00a0include:<\/p>\n<ol>\n<li>Has been convicted \u00a0of a felony.<\/li>\n<li>2. Becomes substance<\/li>\n<li>Tries to influence day to day operations \u00a0of the College.<\/li>\n<li>Absent from 3 consecutive meetings without \u00a0notice.<br \/>\n5 .Takes College \u00a0issues to Tribal Council.<\/li>\n<\/ol>\n<ol start=\"6\">\n<li>Refusal \u00a0to recuse when there is a conflict of<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p>The Board of Trustees and\/or District \u00a0may remove a Board member for improper conduct \u00a0or gross neglect, as defined in the Tribe\u2019s \u00a0By-laws, after providing \u00a0the accused Board member \u00a0with five days prior written notice and a hearing by the Board of Trustees.\u00a0 \u00a0A Board member shall be removed when found guilty of gross neglect and\/or improper\u00a0 conduct. Gross neglect also includes a Board member \u2018s failure to attend three consecutive Board of Trustees\u2019 meetings, excluding \u00a0excused absences.\u00a0 \u00a0If a Board member is removed \u00a0by a District, the removal\u00a0 shall comply with the District constitution\/policy\/or ordinance\u2019s removal procedures.<\/p>\n<p style=\"text-align: center;\"><strong>ARTICLE \u00a0XI -Miscellaneous<\/strong><\/p>\n<p>Section 1. Fiscal year. Unless otherwise fixed by the Board of Trustees, the fiscal year of the<br \/>\nCollege shall be the fiscal year, beginning \u00a0July 1 and ending \u00a0June 30.<br \/>\nSection 2. Corporate \u00a0seal. The College \u00a0may have a seal selected \u00a0by the Board of Trustees.<br \/>\nSection 3. Amendments. The Board of Trustees\u00a0 may amend these Bylaws at a meeting of the<br \/>\nBoard by 2\/3 vote.<br \/>\nSection 4. Execution of Instruments. All deeds, mortgages, bonds, checks, contracts \u00a0and other instruments pertaining to the business \u00a0and affairs of the College shall be signed on behalf of the College by the\u00a0 President\/CEO or in their absence another \u00a0person or persons as may be designated by the Board of Trustees.<br \/>\nSection 5. Deposit of funds. All funds ofthe College shall be deposited to the credit ofthe College in such banks, trust companies or other depositories as the Board of Trustees \u00a0may approve or designate, \u00a0and all such funds shall be withdrawn \u00a0only as authorized \u00a0by the Board of Trustees.<\/p>\n<p style=\"text-align: center;\"><strong>CERTIFICATION<\/strong><\/p>\n<p>I, the undersigned duly elected
